Terms of Service
Last updated: October 22, 2026
These Terms govern the use of ivymsagrado.com and related business pages, and services provided by Ivy Sagrado under the brands Ivy Sagrado Coaching & Consulting and Spark System AI.
“I,” “me,” and “my” refer to Ivy Sagrado. “You” refers to the person or business purchasing services or using the website. Paid services are intended for adults age 18 and older.
1. Services and acceptance
I provide coaching, consulting, and business systems services. Your proposal or service agreement identifies what you are purchasing, including deliverables, fees, responsibilities, and any agreed timeline.
Before purchasing, you will have an opportunity to review these Terms. You accept the applicable Terms by affirmatively agreeing at checkout or signing a proposal or service agreement that incorporates them.
If you purchase on behalf of a business, you confirm that you have authority to enter into the agreement for that business.
A signed service agreement takes priority over these Terms where they conflict. A proposal changes these Terms only when it expressly identifies the agreed change.
Sections specifically addressing AI Back Office Install apply only to that service. Other services have their own scope and any additional payment or cancellation terms disclosed before purchase.
2. Using the website and free resources
Website content and resources belong to me or their respective owners and licensors.
Unless a resource states otherwise, you may use resources provided for download for your own personal or internal business purposes. You may not resell, redistribute, or publicly republish them without permission. Third-party license restrictions continue to apply.
You may not use the website to break the law, interfere with its operation, gain unauthorized access, distribute harmful software, or collect other people’s personal information without authorization.
Free resources and sample briefs are provided for general information, without a promise of accuracy, completeness, availability, or particular results, to the extent permitted by law. They are not a substitute for professional advice.
External websites have their own terms and privacy practices. A link does not necessarily mean I endorse the linked content.
Signing up for requested resources or email updates does not enroll you in a paid service. Marketing emails include an unsubscribe option. My Privacy Policy explains how I handle personal information.
3. AI Back Office Install scope
AI Back Office Install is a phased setup of AI assistants inside accounts you own, at the tier you purchase: Essentials, Growth, or Expanded Back Office.
Your accepted proposal identifies the included assistants, connections, configuration, testing, training, and handoff materials.
Anything not included requires a separate written agreement, including any additional fee or timeline adjustment.
4. Payment and discovery
The full setup fee is due before the discovery call and before project work begins. Your fee is disclosed before payment.
Payments are processed through Stripe connected to HighLevel.
Discovery takes place after payment. Configuration work begins after payment has cleared, discovery is complete, and you have supplied the required onboarding information and authorized access.
If required information, access, or approvals are delayed, I will communicate a revised timeline.
5. Your responsibilities
You agree to:
Create, pay for, and maintain the accounts and subscriptions required for your setup.
Authorize access through an agreed method without sharing passwords, API keys, or two-factor authentication codes.
Provide accurate information and materials you have permission to use.
Attend agreed calls and provide timely feedback and approvals.
Review AI outputs before relying on them.
Follow the laws and platform rules applicable to your business, including privacy and marketing requirements.
Please do not provide sensitive or regulated information unless its handling is expressly included in our written agreement.
6. Approval controls and AI limitations
The setup is designed so assistants draft and prepare work for your review. Sending, posting, making payments, booking, and enabling routines or connections require your approval within the agreed configuration.
I configure and test the approval controls included in your proposal. An approval applies to the action presented, rather than unrelated future actions, unless you separately authorize an ongoing routine in writing.
AI output may be inaccurate, incomplete, or outdated. You are responsible for reviewing the content and actions you approve.
Third-party software can malfunction or change. I do not guarantee that a platform or approval control will operate without error indefinitely.
Your approval does not excuse my breach of the agreement or negligence, or remove rights protected by applicable law.
7. Completion and handoff
Your proposal identifies the completion criteria, including the agreed configuration, testing, walkthrough, and handoff materials.
At handoff, I explain what was installed, approved connections, and known limitations. You have an opportunity to identify work that does not meet the agreed scope.
I will address incomplete or nonconforming work within the agreed scope. New features, additional training, maintenance, and later platform changes require a separate agreement unless your proposal includes them.
Delivery of handoff materials does not eliminate my obligation to complete the work I agreed to provide.
8. Ownership and permitted use
You own your accounts and the custom deliverables identified as yours in your proposal.
I retain ownership of my pre-existing methods, frameworks, templates, and know-how. To the extent I include those materials in your deliverables, you receive a nonexclusive right to use them for the intended operation of your setup, subject to applicable third-party restrictions.
Third-party platforms, software, and licensed materials remain subject to their owners’ terms. This agreement does not transfer ownership of those products or grant resale rights to third-party materials.
I may reuse my general methods with other clients, but not your confidential information.
9. Setup and ongoing care
AI Back Office Install covers a one-time setup.
Monthly care, ongoing monitoring, maintenance, and future changes require a separate written agreement. Purchasing setup does not automatically enroll you in a subscription.
My access ends at handoff unless we agree otherwise in writing. You retain your accounts and delivered setup, subject to your subscriptions and third-party platform terms.
Without an ongoing agreement, I am not responsible for maintaining the setup after completion. This does not remove obligations concerning incomplete or nonconforming work under Section 7.
10. Confidentiality
I keep your nonpublic business information confidential and use it to perform the agreed work.
Client setup and project work take place inside your accounts using agreed access. I do not transfer client project content into my own AI accounts to perform the work.
Information may be processed by authorized service providers or disclosed when legally required. Where legally permitted, I will notify you of a legally compelled disclosure of your confidential information.
Confidentiality does not cover information that is publicly available without a breach, lawfully received without restriction, or independently developed without using your confidential information.
At the end of the project, I return or delete project materials in my possession as agreed, except records retained for legal or necessary business recordkeeping purposes. Retained confidential information remains protected.
11. AI Back Office Install refunds and cancellation
You may cancel by emailing [email protected].
Before the discovery call begins: 100% refund of the setup fee.
After discovery, but before the build starts: 50% refund of the setup fee.
Once the build starts: the setup fee is non-refundable, except as provided in these Terms or required by applicable law.
“Build starts” means I begin configuring your assistants or integrations after payment has cleared, discovery is complete, and required onboarding information and access have been provided. I will email you notice before beginning that configuration work.
If I cannot complete the project for reasons unrelated to your breach, I will refund the portion of the fee attributable to uncompleted work and hand over completed work you have paid for. Any agreed allocation of fees to phases or deliverables will guide that calculation.
If you stop responding for 30 consecutive days while your response is needed to proceed, I may close the project after written notice. Completed work will be made available to you, and the cancellation terms above will apply. Restarting may require a new schedule and written agreement.
Nothing in this section removes rights or remedies that cannot lawfully be excluded.
12. No guaranteed business results
I do not guarantee revenue, leads, time savings, search rankings, or other particular business outcomes.
I remain responsible for delivering the work agreed in your proposal. Business results depend on multiple factors, including your implementation, business circumstances, and third-party services.
13. Third-party platforms
Third-party platforms have their own terms, fees, availability, data practices, and limitations.
I do not control their outages, price changes, discontinued features, or account decisions. Work needed because of later platform changes is outside a completed setup unless separately included.
These limitations do not excuse my failure to perform work I expressly agreed to deliver.
14. No professional advice
My services and resources do not constitute legal, tax, financial, or employment advice.
You should consult appropriately qualified professionals for advice specific to your circumstances.
15. Liability and third-party claims
To the extent permitted by applicable law, my total liability arising from a service is limited to the fees you paid me for that service or project. A separate signed agreement may establish different limits for ongoing services.
To the extent permitted by law, I am not liable for indirect, incidental, or consequential losses, including lost profits or business opportunities.
These limitations do not apply to fraud, willful misconduct, or liability that applicable law does not permit to be limited or excluded.
You agree to reimburse reasonable losses and costs, including reasonable legal fees, arising from a third-party claim to the extent caused by materials you knowingly provided without necessary rights or permissions, or instructions you gave that violate applicable law.
This obligation does not apply to the extent a claim results from my breach, negligence, or willful misconduct. I will promptly notify you of such a claim and reasonably cooperate in its resolution. Neither party may agree to a settlement imposing obligations on the other without that party’s written consent.
16. Ending the agreement
Either party may end the agreement in writing if the other materially breaches it and fails to remedy the breach within 14 days after receiving written notice describing the breach.
Refunds and handoff are addressed under Section 11, any applicable signed agreement, and applicable law.
Sections 8 (Ownership), 10 (Confidentiality), 11 (Refunds and cancellation), 12 (No guaranteed business results), 14 (No professional advice), 15 (Liability and third-party claims), 17 (Marketing permissions), and 18 (General and disputes), together with accrued payment obligations, survive termination as applicable to the completed relationship.
17. Marketing permissions
I will use your name, logo, testimonial, identifiable feedback, or project results in marketing only with your separate written permission.
You may withdraw permission for future use by emailing [email protected]. After receiving your request, I will stop new uses and remove the material from marketing channels I control within a reasonable time. Previously distributed materials or copies outside my control may remain.
Purchasing a service does not grant marketing permission.
18. General and disputes
I am an independent contractor. These Terms do not create an employment relationship, partnership, or joint venture.
Illinois law governs the agreement, subject to mandatory protections under applicable law.
If a dispute arises:
Written discussion: Either party may notify the other in writing. Both parties will try in good faith to resolve the issue within 30 days after receipt.
Mediation: If unresolved, the parties will attempt to arrange mediation with a mutually acceptable neutral mediator. Mediation may take place by video. Costs and scheduling require mutual written agreement; no equal fee split or fixed mediation deadline is imposed by these Terms.
Court: If mediation ends without resolution, either party declines to participate, or the parties cannot agree on mediation arrangements, either party may bring a claim in the state courts in McHenry County, Illinois, or a federal court covering McHenry County that has jurisdiction, subject to applicable law.
Either party may bring an eligible small-claims case without first completing these contractual discussion or mediation steps, subject to court requirements. These steps do not prevent seeking urgent relief or making a filing necessary to preserve a legal deadline.
These Terms, your accepted proposal, and any signed service agreement form the agreement for your purchase. Changes to an existing project require written agreement.
Updates posted on the website do not automatically change the terms of an existing project. Revised Terms will identify their effective date and apply to future purchases accepted under them.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
